HALLIBURTON ANNOUNCES PRICING OF SHARE OFFERING BY ASBESTOS TRUST

HOUSTON, Texas – Halliburton (NYSE: HAL) announced today that the underwritten offering by the DII Industries, LLC Asbestos PI Trust of all 59,500,000 shares of Halliburton's common stock held by the trust has priced at $42.50 per share. Halliburton will not sell any shares in this offering, nor will it receive any proceeds from it. The offering is expected to close on March 23, 2005.
